Wynn Resorts issues $900M in senior notes due 2035
Wynn Resorts, Limited (NASDAQ: WYNN) announced that its indirect wholly-owned subsidiaries, Wynn Resorts Finance, LLC and Wynn Resorts Capital Corp., issued $900 million in aggregate principal amount of 6.875% Senior Notes due 2035.
The notes were issued Sept. 22, 2026, under an indenture with U.S. Bank Trust Company, National Association serving as trustee. They were offered and sold under exemptions from the registration requirements of the Securities Act of 1933. The notes mature on March 15, 2035, with interest payable semi-annually on March 15 and September 15 each year, beginning March 15, 2027.
According to the company, net proceeds from the offering, combined with cash on hand, will be used to redeem in full the outstanding 5.250% Senior Notes due 2027 issued by Wynn Las Vegas, LLC and Wynn Las Vegas Capital Corp., and to pay related fees and expenses.

The notes are jointly and severally guaranteed by all domestic subsidiaries of Wynn Resorts Finance that guarantee the issuers' existing senior secured credit facilities. Prior to Sept. 15, 2029, the issuers may redeem the notes at 100% of the principal amount plus a make-whole amount and accrued interest. On or after that date, redemptions may occur at prices outlined in the indenture.
The indenture includes covenants restricting the issuers and guarantors from entering into sale-leaseback transactions, creating liens to secure debt, and merging or selling substantially all assets, subject to exceptions outlined in the indenture.
