Roundtable clarifies terms of $1B Paradium.AI platform deal

September 18, 2026 3:12 PM

Roundtable (NASDAQ: RTB) issued clarifying points about its 10-year, $1 billion strategic platform agreement with Paradium.AI, formerly The Arena Group, stating the deal is not an acquisition and does not constitute a tender offer.

According to a press release, Roundtable is purchasing a minority interest in Paradium.AI directly from the company's largest shareholder, not from the public or the company itself. RTB said it has no plans to seek majority control.

The agreement is structured to migrate Paradium.AI's media brands, traffic, and associated revenue onto Roundtable's MediaOS platform. The platform agreement includes $11.5 million in RTB stock consideration in exchange for a technology license transfer and other considerations.

Closing is expected in the fourth quarter of 2026 and is conditional on completion of the minority share purchase, which requires a capital raise. RTB said it expects the premium paid for the shares to be amortized over the 10-year agreement, with return on investment payback projected within two years.

RTB stated the agreement could bring its marketplace to $100 million in annual gross revenue and 100 million monthly users, subject to closing, market conditions, and no material adverse change. The company also said the deal is not expected to add incremental expenses beyond its existing operating model.

Additional terms, conditions, and risk factors are described in RTB's Current Report on Form 8-K filed with the U.S. Securities and Exchange Commission on September 18, 2026.
