SOS Limited signs non-binding memo for Indonesia data center project

SOS Limited (NYSE: SOS) announced that its Singapore-based subsidiary, Future Digital Trading Pte. Ltd., has signed a non-binding Framework Cooperation Memorandum with an Indonesian company for the potential development of a 500-megawatt AI and cloud data center campus in the Galang Batang Special Economic Zone on Bintan Island, Riau Islands Province, Indonesia.

The memorandum, signed September 15, 2026, outlines preliminary terms including land and power arrangements, a funding mechanism, and a six-month due diligence period. If the project proceeds, Phase I construction is expected to have a capacity of approximately 50MW. The final investment structure, equity percentages, and governance arrangements have not been determined.

Under the memorandum, the local partner would use commercially reasonable efforts to secure at least 60MW of power capacity before the first phase is commissioned. The memorandum contemplates a ten-year coal-index-linked electricity pricing formula, with final pricing subject to definitive documentation.

The company said it has received non-binding expressions of interest totaling approximately 180MW from prospective tenants, described as global cloud, internet, and AI platforms. No definitive customer contracts have been signed.

SOS reported total assets of approximately $465 million and shareholders' equity of approximately $423 million as of December 31, 2025. The company said it expects to fund the project through an equity and project-finance structure, though no financing arrangements have been finalized.

"We will move deliberately through diligence and definitive documentation, and we look forward to updating shareholders as milestones are achieved," said Yandai Wang, Chairman and Chief Executive Officer of SOS Limited.

The memorandum is largely non-binding and remains subject to completion of due diligence, negotiation of definitive agreements, financing, and applicable regulatory approvals. SOS said there is no assurance that the transaction will be completed or that any phase will be built at the described scale or timing.
