Ruger terminates shareholder rights plan after Beretta deal conditions met
Sturm, Ruger & Company (NYSE: RGR) announced that regulatory conditions under its Strategic Cooperation Agreement with Beretta Holding S.A. have been satisfied, triggering the early termination of the company's shareholder rights plan.
Ruger's board of directors unanimously approved an amendment to accelerate the rights plan's expiration date from October 13, 2026 to September 16, 2026, effectively terminating the plan immediately. The company stated that shareholders are not required to take any action in connection with the expiration.
The board determined that an active rights plan is "not necessary at this time to serve the best interests of the shareholders," according to the announcement.

Todd Seyfert, President and Chief Executive Officer of Ruger, said: "These actions represent the natural, next steps outlined in the Agreement we announced in May. We remain focused on executing our strategy and operating the business in the best interests of Ruger and all of our shareholders."
The terms of the original Strategic Cooperation Agreement with Beretta Holding remain unchanged.
