Garg Group highlights Glass Lewis criticism of Better's board
Vishal Garg, founder and former CEO of Better Home & Finance Corporation (Nasdaq: BETR), commented on a Glass Lewis report related to his group's ongoing consent solicitation to remove five directors from Better's board.
Glass Lewis, while not recommending in favor of the Garg Group's proposals, noted that Better's "governance record provides legitimate grounds for criticism of the incumbent board," particularly regarding the execution and communication of the company's leadership transition. The proxy advisory firm also raised questions about the board's succession planning, citing the short interval between Daniel Lewis' appointment as a non-employee director and his elevation to interim CEO.
Glass Lewis further noted that Better's stock increased approximately 104.5% from August 1, 2025 through August 3, 2026, compared with a 25.5% gain in the Nasdaq Composite during the same period, stating the operating evidence "creates a legitimate challenge for the board's position." The firm also flagged the board's adoption of a rights plan and pursuit of emergency federal injunctive relief as "more problematic from a shareholder-franchise perspective."

Garg, responding to the report, said his group disagrees with Glass Lewis' ultimate recommendation but acknowledged the firm's findings aligned with several of the group's arguments, including concerns over the leadership transition process and Daniel Lewis' suitability as interim CEO.
The Garg Group is seeking shareholder support to remove board members Daniel Lewis, Harit Talwar, Arnaud Massenet, Bhaskar Menon, and Prabhu Narasimhan. The group set a target date of September 18, 2026 for the submission of written consents.
