Dream Finders secures consent on Beazer 2031 notes, extends 2032 deadline
Dream Finders Homes (NYSE: DFH) announced it has obtained the required consents from holders of Beazer Homes USA's 7.500% Senior Notes due 2031, while extending the consent solicitation deadline for Beazer's 8.000% Senior Notes due 2032.
As of 5:00 p.m. New York time on Sept. 15, 2026, holders of a majority in aggregate principal amount of the outstanding 2031 Notes had delivered valid consents, meeting the threshold needed to amend the indenture governing those notes. The consent solicitation for the 2031 Notes has expired and will not be extended.
Dream Finders will pay $22.50 per $1,000 in principal of 2031 Notes to eligible consenting holders, with payment expected at the closing of its planned merger with Beazer.
For the 2032 Notes, holders of approximately 46.5% in aggregate principal amount, or $185.9 million, had delivered consents by the original deadline, falling short of the required majority. Dream Finders extended the deadline for those notes to 5:00 p.m. New York time on Sept. 17, 2026.

Dream Finders also amended the consent fee structure for the 2032 Notes. Instead of a fixed per-note fee, the company will distribute an aggregate $4 million among consenting holders on a pro rata basis. Depending on total participation, the fee would range between $10.00 and approximately $20.00 per $1,000 in principal.
The proposed amendment would alter the definition of "Change of Control" in both indentures so that Dream Finders' acquisition of Beazer does not trigger a mandatory repurchase offer. The merger agreement, dated Aug. 6, 2026, calls for Beazer to become a wholly owned subsidiary of Dream Finders. The transaction is expected to close in the fourth quarter of 2026, subject to customary closing conditions.
BofA Securities and Goldman Sachs are acting as solicitation agents for the consent process.
