Beta Bionics prices $150M public offering of stock and warrants
Beta Bionics, Inc. (Nasdaq: BBNX) has priced an underwritten public offering of 7,652,175 shares of common stock at $17.25 per share, along with pre-funded warrants to purchase 1,043,484 shares at $17.2499 per share, according to a company statement.
The gross proceeds from the offering are expected to total $150.0 million, before underwriting discounts, commissions, and other offering expenses. The offering is expected to close on or about September 17, 2026, subject to customary closing conditions.
Beta Bionics has also granted underwriters a 30-day option to purchase up to 1,304,348 additional shares of common stock at the public offering price, less underwriting discounts and commissions.
The company said it intends to use net proceeds for general corporate purposes, which may include commercialization costs for its Mint product, expansion of manufacturing facilities, research and development, clinical development, product enhancements, potential strategic opportunities, and working capital.
J.P. Morgan, Piper Sandler, Wells Fargo Securities, and Leerink Partners are serving as joint book-running managers for the offering.
The securities are being offered under a shelf registration statement on Form S-3 filed with the Securities and Exchange Commission on February 24, 2026, which became effective automatically upon filing.
