Critical Metals Corp. merger with European Lithium moves to vote
Critical Metals Corp. (NASDAQ: CRML) announced that the Supreme Court of Western Australia has ordered European Lithium Limited (ASX: EUR, FRA: PF8, OTC: EULIF) to convene shareholder and optionholder meetings to vote on a proposed acquisition by Critical Metals Corp.
Under the proposed transaction, Critical Metals Corp. would acquire 100% of European Lithium's issued share capital and all of its listed options through court-approved schemes of arrangement under Australia's Corporations Act 2001. The consideration under each scheme would be satisfied by issuing new ordinary shares in Critical Metals Corp.
The Scheme Booklet has been registered with the Australian Securities and Investments Commission (ASIC) and is expected to be dispatched to European Lithium securityholders on or around September 22, 2026. The booklet includes an independent expert's report and will be made available on the ASX.

A general meeting and the scheme meetings are scheduled for October 22, 2026, in West Leederville, Western Australia. Implementation of each scheme is conditional on shareholder approval of resolutions under Chapter 2E of the Australian Corporations Act at the general meeting.
Mike Hanson, a board director of Critical Metals Corp. who leads the Special Committee overseeing the transaction, said: "The Court orders and registration of the Scheme Booklet are significant milestones and move the transaction into its final stages. We look forward to the securityholder meetings next month and to completing the combination."
Subject to securityholder approval, court approval, and the satisfaction of remaining conditions, the schemes are expected to be implemented in November 2026. The company noted that all dates are indicative and subject to change pending the court approval process.
