Boxlight regains Nasdaq compliance under one-year monitor
Boxlight Corporation (NASDAQ: BOXL) announced it has regained compliance with Nasdaq listing requirements after receiving a written decision from the Nasdaq Hearings Panel on September 2, 2026.
The panel determined that Boxlight met Nasdaq Listing Rule 5550(b)(1), which requires listed companies to maintain a minimum of $2,500,000 in stockholders' equity. The decision followed a hearing on August 13, 2026, at which Boxlight presented a compliance plan that included a private investment in public equity transaction generating approximately $6.6 million in net proceeds, an anticipated $15 million equity line of credit, and a planned $2.9 million debt-to-equity swap.
On August 5, 2026, Boxlight closed the first tranche of its Series D Convertible Preferred Stock Financing, raising $4.8 million net of fees.

As a condition of continued listing, the panel imposed a one-year Discretionary Panel Monitor on the company, effective August 17, 2026. Under this monitoring period, any finding of non-compliance with Nasdaq listing rules will result in a Delist Determination Letter without the opportunity to submit a compliance plan or receive additional time to regain compliance. The company would then have the option to request a new hearing before the panel.
The panel's decision may be reviewed by the Nasdaq Listing and Hearing Review Council if a written request is submitted within 15 calendar days of the decision, subject to a $15,000 fee. The council may also independently choose to review the decision within 45 calendar days of its issuance.
