OPAL Fuels Inc. (NASDAQ: OPAL) filed a Form S-3 registration statement with the Securities and Exchange Commission to replace an expiring registration statement originally filed on August 1, 2023.

The new filing carries over unsold securities with a maximum aggregate offering price of $199,000,000 from the prior registration statement, which is set to expire on September 6, 2026. No additional securities beyond those remaining on the expiring registration statement are being registered.

Under SEC rules, the company may issue and sell the unsold securities until the earlier of the new registration statement's effective date or 180 days after September 6, 2026. The effectiveness of the new registration statement will terminate the prior one.
