Teck and Anglo American extend special dividend payment timeline
Teck Resources Limited (NYSE: TECK) and Anglo American plc have agreed to extend the payment window for a $4.5 billion special dividend tied to their planned merger of equals, according to a company statement.
Under the original arrangement agreement dated September 9, 2025, Anglo American was required to declare a special dividend on its ordinary shares of approximately $4.5 billion as a condition precedent to completing the merger. The dividend was initially set to be paid within 30 days of the merger's effective date. The two companies have since agreed to extend that deadline to 45 days following the effective date.
The companies also disclosed that the period between the fulfilment of remaining conditions precedent and the completion of the merger will be 11 trading days, with the effective time expected to be 10:00 p.m. Vancouver time on the eleventh trading day.
The merger was first outlined in an arrangement agreement signed September 9, 2025, with Teck's shareholder circular dated November 3, 2025. The transaction is subject to regulatory approvals and other closing conditions.
