Nasdaq moves to delist GeoVax Labs over bid price violation

GeoVax Labs Inc. (NASDAQ: GOVX) received a Staff Determination Letter from the Nasdaq Stock Market LLC on August 27, 2026, notifying the company that Nasdaq staff has determined to delist its common stock.

According to the letter, the closing bid price of GeoVax's common stock fell below the $1.00 per share minimum required for continued listing for 30 consecutive business days, from July 16, 2026 through August 26, 2026, violating Nasdaq Listing Rule 5550(a)(2).

Nasdaq also determined that GeoVax is ineligible for the customary 180-calendar-day compliance period because the company completed a 1-for-25 reverse stock split on January 12, 2026, within the prior one-year period, triggering a restriction under Nasdaq Listing Rule 5810(c)(3)(A)(iv).

The company has also previously disclosed a separate notification from Nasdaq regarding non-compliance with the minimum $2,500,000 stockholders' equity requirement under Nasdaq Listing Rule 5550(b).

Absent a hearing request, trading in GeoVax's securities is expected to be suspended at the opening of business on September 8, 2026. The company stated it plans to request a hearing before the Nasdaq Hearings Panel ahead of the September 3, 2026 deadline. A timely request will stay further action, allowing the stock to remain listed during the appeal process.

GeoVax noted there is no assurance that the Hearings Panel will grant continued listing or that the company will regain compliance with applicable Nasdaq requirements.
