NYSE moves to delist Natuzzi ADSs over market cap violation
Natuzzi S.p.A. (NYSE: NTZ) received written notice from the New York Stock Exchange on August 26, 2026, that the exchange has suspended trading in the company's American Depositary Shares and commenced proceedings to delist them.
The NYSE cited Natuzzi's failure to comply with Section 802.01B of the NYSE Listed Company Manual, which requires a company to maintain an average global market capitalization of at least $15 million over a consecutive 30 trading-day period. No cure period applies to this type of violation.
The Italian furniture company said it is reviewing the NYSE determination and evaluating all available options, including an appeal. If the company does not appeal or an appeal is rejected, the delisting would take effect 10 days after the NYSE files Form 25 with the Securities and Exchange Commission.

Natuzzi said the suspension and potential delisting will not affect its business operations or its ongoing turnaround program. The company does not currently intend to terminate its ADS facility, and expects its ADSs would trade on the over-the-counter market if delisted, though it offered no assurance that an active market would be maintained.
In the event of delisting, Natuzzi said it would evaluate filing a Form 15 with the SEC to deregister its ADSs and suspend reporting obligations under the Securities Exchange Act of 1934, provided the securities are held by fewer than 300 holders of record. The company said it currently intends to continue publishing an English version of its annual consolidated financial statements regardless of its SEC reporting status.
Natuzzi has been listed on the NYSE since May 13, 1993. The company is based in Santeramo in Colle, Bari, Italy.
