Treasure Global signs $3M software deals with three developers

Treasure Global Inc. (NASDAQ: TGL) entered into three separate software development agreements on August 26, 2026, with a combined value of $3,000,000.

According to a press release, the company signed individual agreements with Mestiz Technology Sdn Bhd and E Argo Digital Sdn Bhd, both incorporated in Malaysia, and Add2Cart Commerce Pte Ltd, incorporated in Singapore. Each agreement carries a software development fee of $1,000,000.

The three developers are each contracted to design, develop, implement, and deliver a Lifestyle Membership and Experience Platform, including source code, documentation, cloud infrastructure configurations, APIs, and databases.

Payments under each agreement are structured in three milestones: $500,000 upon the effective date, $400,000 upon completion of user acceptance testing, and $100,000 upon go-live completion. Treasure Global retains sole discretion to satisfy payments in cash, common stock, or a combination of both. If paid in TGL shares, the issue price is based on the closing price of the stock on the trading day immediately preceding the payment date, with shares subject to a six-month restriction under Rule 144 of the Securities Act of 1933.

Each agreement has a three-month term from August 26, 2026. If the software fails to meet acceptance testing criteria after three repeated tests, Treasure Global may terminate the agreement, and the respective developer must refund all fees paid within 14 days. Delays carry liquidated damages of 2% of applicable fees per week, capped at 10% per phase.

All intellectual property rights vest exclusively in Treasure Global upon creation. The agreements are governed by Malaysian law, with disputes to be resolved in Malaysian courts.
