SEC clears VerifyMe and OpenWorld merger registration statement
VerifyMe, Inc. (NASDAQ: VRME) and OpenWorld Ltd. announced that the U.S. Securities and Exchange Commission has declared effective the Registration Statement on Form S-4 filed in connection with their proposed business combination.
VerifyMe stockholders of record as of August 7, 2026 will vote on the proposed merger at the company's 2026 annual meeting, scheduled for September 24, 2026, at 1:00 p.m. Eastern Time via live webcast. If approved, the transaction is expected to close shortly after the meeting, subject to customary closing conditions.
Upon closing, the combined company would operate under the name "OpenWorld, Inc." and trade on Nasdaq under the ticker symbol "OPNW."
OpenWorld describes itself as a blockchain innovation company focused on real-world asset tokenization. According to the press release, the company has entered several recent agreements, including a collaboration with Abstract Foundation on an RWA tokenization platform, a letter of agreement with mCloud Technologies Saudi Arabia for an RWA tokenization program in Saudi Arabia, and agreements with Figure Technology Solutions to tokenize the combined company's equity securities using Figure's Onchain Public Equity Network.
OpenWorld also signed a non-binding memorandum of understanding to develop a tokenized reward point system for resort properties in Ras Al-Khaimah, UAE, and a non-binding letter of intent with Jolt Charge USA Inc. related to potential tokenized capital-raising services for electric vehicle charging infrastructure.
VerifyMe provides specialized logistics for time and temperature-sensitive products, as well as brand protection solutions, and is headquartered in Lake Mary, Florida.
