Tractor Supply issues $500M in senior notes due 2032

Tractor Supply Company (NASDAQ: TSCO) issued $500 million in aggregate principal amount of 5.200% Senior Notes due 2032 on August 25, 2026, according to a press release statement.

The notes, which mature on January 30, 2032, bear interest at 5.200% per annum, payable semi-annually on January 30 and July 30 each year, beginning January 30, 2027. The offering was made under a registration statement filed with the Securities and Exchange Commission on August 17, 2026.

Wells Fargo Securities, LLC and BofA Securities, Inc. served as representatives of the underwriters for the offering. The underwriting agreement was entered into on August 19, 2026.

The company said it intends to use the net proceeds to repay borrowings under its existing senior credit facility and for general corporate purposes. Affiliates of some underwriters, which are lenders under the senior credit facility, are expected to receive at least 5% of the net proceeds from the repayment.

The notes are senior unsecured debt obligations and rank equally with the company's other senior unsecured liabilities. The notes are governed by an indenture dated October 30, 2020, as supplemented by a third supplemental indenture dated August 25, 2026, with Regions Bank serving as trustee.

The company holds the right to redeem the notes in whole or in part prior to December 30, 2031, at a price equal to the greater of a make-whole amount or 100% of the principal, plus accrued interest. On or after December 30, 2031, the notes may be redeemed at 100% of the principal amount plus accrued interest.

In the event of a Change of Control Triggering Event, noteholders may require the company to repurchase the notes at 101% of the principal amount plus accrued interest.
