Marten Transport amends credit agreement, extends term to 2031

Marten Transport, Ltd. (NASDAQ: MRTN) entered into a Second Amendment to its Credit Agreement on August 19, 2026, modifying several terms of the revolving credit facility originally established in August 2022 with U.S. Bank National Association as agent.

The Second Amendment extends the credit facility term until August 19, 2031, and increases the sublimit for the issuance of letters of credit from $35 million to $50 million. The maximum aggregate principal amount was decreased from $105 million to $100 million. The amendment also updates applicable margins for Term SOFR advances and provides for a Second Amended and Restated Revolving Note in an aggregate principal amount of up to $50 million.

The changes follow a First Amendment entered into on June 12, 2026, which had increased the letters of credit sublimit from $30 million to $35 million, raised the maximum aggregate principal amount from $100 million to $105 million, and established an Amended and Restated Revolving Note of up to $35 million.

The original credit agreement, signed August 16, 2022, established a five-year unsecured revolving credit facility of up to $30 million for general business and working capital purposes, with provisions allowing incremental increases in the aggregate principal amount in steps of no less than $5 million.
