Real and RE/MAX Holdings complete merger, form Real REMAX Group
Real REMAX Group Inc. (NASDAQ: REAX) announced the completion of its business combination between The Real Brokerage Inc. and RE/MAX Holdings, Inc., with the combined company now operating under the name Real REMAX Group Inc.
Shares of the former companies ceased trading on their respective exchanges upon close of trading Aug. 24, 2026. Real's common shares had traded on the Nasdaq Global Select Market, while RE/MAX Holdings' Class A Common Stock traded on the New York Stock Exchange. Beginning Aug. 25, 2026, shares of Real REMAX Group began trading on Nasdaq under the ticker symbol "REAX."
Under the terms of the merger agreement, former Real shareholders received one share of Real REMAX Group common stock for each Real common share held, following a 10-for-1 share consolidation. Former RE/MAX Holdings stockholders received either 0.515 shares of Real REMAX Group common stock, or approximately $4.33 in cash and approximately 0.3535 shares of Real REMAX Group common stock for each Class A Common Stock share held, subject to proration mechanics outlined in the merger agreement.

The combined company claims more than 180,000 agents, with over 100,000 based in the U.S. and Canada, and a presence in over 120 countries and territories.
Morgan Stanley served as exclusive financial advisor to Real, with Willkie Farr & Gallagher LLP and Gowling WLG (Canada) LLP acting as legal counsel. J.P. Morgan served as exclusive financial advisor to RE/MAX Holdings, with Morrison & Foerster LLP and McCarthy Tétrault LLP acting as legal counsel.
