Tyson Foods sets pricing on debt tender offers, hits $1.2B cap

Tyson Foods, Inc. (NYSE: TSN) announced pricing terms for its previously disclosed debt tender offers, with the company reaching the $1.2 billion maximum tender cap by the early tender deadline of Aug. 21, 2026.

According to a press release, the company accepted three series of notes for purchase. For its 3.550% Senior Notes due 2027, Tyson accepted $571,260,000 in principal at a total consideration of $994.87 per $1,000 principal amount, with a tender offer yield of 4.231%. The 5.400% Senior Notes due 2029 saw $389,974,000 accepted at $1,019.77 per $1,000, with a yield of 4.545%. The 4.350% Senior Notes due 2029 had $235,342,000 accepted at $994.24 per $1,000 and a yield of 4.595%, with a proration factor of approximately 43.48%.

Total consideration for all series includes an early tender premium of $30.00 per $1,000 principal amount. Accrued interest is paid separately.

Because the maximum tender cap was reached by the early tender deadline, the company said no notes tendered after that date will be accepted for purchase. Settlement for accepted notes is expected to occur on Aug. 26, 2026. All accepted notes will be retired and canceled.

Tyson also announced it eliminated the previously established 5.400% 2029 Tender Sub-Cap. The offers are set to expire at 5:00 p.m. New York City time on Sept. 8, 2026.

BofA Securities, J.P. Morgan Securities, Morgan Stanley & Co., and Rabo Securities USA are serving as dealer managers for the offers. D.F. King & Co. is acting as information and tender agent.
