Agnico Eagle to acquire 10.45% stake in Radisson Mining for C$57M

Agnico Eagle Mines Limited (NYSE: AEM) has agreed to acquire a stake in Radisson Mining Resources Inc. (TSX-V: RDS) through a non-brokered private placement valued at C$57,159,400, according to a press release dated August 24, 2026.

Under the subscription agreement, Agnico Eagle will purchase 53,420,000 units of Radisson at C$1.07 per unit. Each unit consists of one Class A common share and one-half of one common share purchase warrant. Each whole warrant allows the holder to acquire one common share at C$1.39 for 60 months following the closing date, subject to acceleration in certain circumstances.

Upon closing, Agnico Eagle is expected to hold approximately 10.45% of Radisson's issued and outstanding common shares on a non-diluted basis, and approximately 14.90% on a partially diluted basis, assuming exercise of the warrants it holds. Agnico Eagle held no shares or warrants in Radisson prior to the agreement.

The transaction is subject to TSX Venture Exchange approval and is expected to close on or about September 2, 2026.

An investor rights agreement between the two companies will take effect upon closing, granting Agnico Eagle the right to nominate one board director and to participate in certain equity offerings to maintain up to a 14.9% partially diluted ownership interest. The agreement also places restrictions through December 31, 2028 on certain transactions involving Radisson's mineral properties, including dispositions and certain royalty, stream, offtake, and secured financing transactions.
