Denarius Metals acquires 15% stake in Copper Giant, Trafigura invests
Denarius Metals Corp. (Cboe CA: DMET, OTCQX: DNRSF) has closed a CA$28.8 million equity investment in Copper Giant Resources Corp. (TSXV: CGNT, OTCQB: LBCMF), acquiring 40,000,000 common shares at CA$0.72 per share, according to a press release. The transaction gives Denarius Metals an approximately 15.34% equity interest in Copper Giant.
Concurrent with the investment, Denarius Metals closed a non-brokered private placement with Urion Investments Holdings Limited, a Malta-based subsidiary of the Trafigura Group, raising CA$28,810,000. Urion acquired 67,000,000 common shares and 12,500,000 common share purchase warrants at CA$0.43 per unit. The proceeds were used to fund the Copper Giant investment.
Each warrant is exercisable at CA$0.60 per share until August 21, 2029. The common shares and warrants are subject to a statutory four-month hold period.
Following the transaction, Trafigura beneficially owns and controls 74,576,282 common shares of Denarius Metals, representing approximately 14.79% of issued and outstanding common shares. Prior to the placement, Trafigura held approximately 1.73% of the company. Assuming full exercise of all warrants held, Trafigura's ownership would reach approximately 17.92% on a partially diluted basis.
Federico Restrepo-Solano, Chief Executive Officer of Denarius Metals, has been appointed to Copper Giant's advisory board.
Copper Giant's primary asset is the Mocoa copper-molybdenum deposit in southern Colombia. Denarius Metals operates mining projects in Colombia and Spain, including the Zancudo gold-silver project and the Aguablanca nickel-copper project.
