Aptevo Therapeutics Inc. (NASDAQ: APVO) filed a prospectus related to the potential resale of up to 6,444,858 shares of common stock, par value $0.001 per share, by certain selling stockholders.

The shares are issuable upon the exercise of three types of warrants: pre-funded common stock purchase warrants covering up to 861,708 shares, common stock purchase warrants covering up to 4,308,540 shares, and inducement warrants covering up to 1,274,610 shares.

The pre-funded warrants and common warrants were issued through a private placement under a Securities Purchase Agreement dated August 12, 2026. The inducement warrants were issued pursuant to Warrant Inducement and Reload Letters, also dated August 12, 2026.
