Roots Corporation to go private in C$4.10-per-share deal with Marquee Brands
Roots Corporation (TSX: ROOT) has agreed to be taken private by Marquee Brands in a deal that values the Canadian apparel retailer at C$4.10 per common share in cash, representing a 36% premium to the stock's closing price on March 2, 2026, the last trading day before the company announced a strategic review.
Under the agreement, JM&A Design and Development Inc., led by Canadian retail figures Joseph Mimran and Frank Rocchetti, will serve as the core operating partner and acquire all issued and outstanding common shares. Marquee Brands, owned by funds managed by Neuberger, will oversee global brand management and category expansion. JM&A will manage design, manufacturing, distribution, retail, and e-commerce operations across Canada and the United States, including more than 100 North American stores. Roots headquarters will remain in Toronto.
The board of Roots unanimously recommended the transaction, citing a fairness opinion issued August 20, 2026, by J.P. Morgan Securities Canada Inc. The strategic review, launched March 3, 2026, involved outreach to a broad pool of potential acquirers and produced multiple proposals.
Searchlight Capital Partners, L.P., Kernwood Limited, and all directors and senior officers of Roots, representing approximately 69% of total voting interest, have agreed to vote in favor of the deal.
The transaction requires approval of at least two-thirds of votes cast by shareholders, a simple majority of minority shareholders, clearance under Canada's Competition Act, and approval by the Ontario Court of Justice. A special shareholder meeting is expected in October 2026, with closing targeted for the fourth quarter of 2026.
Upon completion, Roots common shares will be delisted from the Toronto Stock Exchange and the company will cease to be a reporting issuer in Canada.
