Holcim to acquire Fermacell from James Hardie for EUR 840M
Holcim has agreed to acquire Fermacell, a European walling and flooring solutions business, from James Hardie Industries (NYSE: JHX) for EUR 840 million, according to a press release from the companies.
Fermacell, headquartered in Düsseldorf, Germany, produces fibre gypsum and cement-bonded boards under the fermacell® and Aestuver® brands. The business employs more than 1,000 people, operates six production sites, and is present in 13 European markets. Projected 2026 net sales for Fermacell are approximately EUR 430 million.
The transaction represents an implied pro forma 2027 EBITDA multiple of 9.5x, or 7.6x after run-rate synergies of approximately EUR 22 million expected to be realized by year three. Holcim said the deal is expected to be earnings per share accretive in year one.
Holcim CEO Miljan Gutovic said the acquisition would complement the company's existing brands, including Ytong, Silka, Hebel, and Multipor, and broaden its "integrated building systems and modular construction offerings."
The transaction is subject to customary conditions and regulatory clearances and is expected to close in the first half of 2027.
