IsoEnergy and Disa Technologies close deal to form Disa Uranium Corp

IsoEnergy Ltd. (NYSE American: ISOU) and DISA Technologies, Inc. have completed a transaction to form DISA Uranium Corporation, a new U.S. uranium company, according to a press release dated Aug. 19, 2026.

Under the terms of the agreement, IsoEnergy contributed its Utah Portfolio — a group of permitted, past-producing conventional uranium mines including the Tony M Mine, Daneros Mine, Rim Mine, Sage Plain Project, and Flatiron Project — to DISA Uranium in exchange for 1,677,350 shares of DISA Uranium common stock. DISA Technologies combined that portfolio with its proprietary HPSA™ technology and remediation and recovery business.

Concurrent with the closing, DISA Uranium completed a $105 million private placement financing. Investors include Tembo Capital, BHP Ventures, Galvanize Climate Solutions, Valor Equity Partners, Evok Innovations, Halliburton Labs, and Veriten. IsoEnergy contributed $33 million of that total and now holds approximately 33% of DISA Uranium on a fully diluted basis, making it the company's largest shareholder.

DISA Uranium's seven-member board includes IsoEnergy Chairman Richard Patricio, IsoEnergy CEO Philip Williams, Tembo Capital Partner George Pyper, DISA Uranium CEO Greyson Buckingham, Scott Saxberg, Marty Reed, and former U.S. Nuclear Regulatory Commission Commissioner Jeffrey Merrifield.

DISA Uranium, headquartered in Casper, Wyoming, holds what it describes as the only U.S. Nuclear Regulatory Commission license to treat and recover abandoned uranium mine waste across multiple sites. The company plans to deploy its HPSA technology to recover uranium from abandoned mine waste, restart conventional U.S. uranium production, and develop domestic processing capacity. The Tony M Mine is identified as a near-term priority within the Utah Portfolio.
