3M secures $4.25 billion revolving credit facility with JPMorgan

3M Co. (NYSE: MMM) entered into a new credit agreement on August 17, 2026, establishing a $4.25 billion unsecured revolving credit facility with JPMorgan Chase Bank, N.A. as administrative agent.

The facility replaces a prior $4.25 billion five-year revolving credit agreement dated May 11, 2023, which was terminated on the same date. Advances under the new facility will mature on the fifth anniversary of the effective date, with an option to extend the term by up to two additional one-year periods, subject to lender approval.

Interest on U.S. dollar advances will accrue at either the Base Rate or Term SOFR plus an applicable margin. For euro-denominated advances, interest will accrue at the EURIBO Rate plus an applicable margin. Margins for Term SOFR and EURIBO Rate advances range from 0.625% to 1.125% per annum, while Base Rate margins range from 0.00% to 0.125% per annum, based on the company's credit rating.

3M will pay a quarterly commitment fee on unused portions of the facility, ranging from 0.05% to 0.11% per annum, also determined by the company's credit rating on senior unsecured long-term debt.

The credit agreement includes a provision allowing 3M to request increases to the facility in $25 million increments, up to a maximum of $5.25 billion, subject to lender discretion.

The agreement requires 3M to maintain an EBITDA to Interest Ratio of at least 3.0 to 1.0 at the end of each quarter. Lenders retain the right to demand prepayment and terminate commitments upon 30 days' written notice if the company undergoes a change of control.
