Charter Communications closes $4.75 billion senior secured notes offering
Charter Communications, Inc. (NASDAQ: CHTR) announced that its subsidiaries, Charter Communications Operating, LLC and Charter Communications Operating Capital Corp., closed a $4.75 billion senior secured notes offering, according to a press release dated Aug. 18, 2026.
The offering consisted of four tranches. The first tranche included $1.75 billion in aggregate principal of 6.050% Senior Secured Notes due 2032, issued at 99.839% of par. The second tranche comprised $1.0 billion of 6.600% Senior Secured Notes due 2034, issued at 99.896% of par. The third tranche consisted of $1.0 billion of 6.950% Senior Secured Notes due 2036, issued at 99.937% of par. The fourth tranche included $1.0 billion of 7.850% Senior Secured Notes due 2056, issued at 99.921% of par.
The notes were issued under an effective automatic shelf registration statement on Form S-3 filed with the Securities and Exchange Commission. Citigroup Global Markets Inc., Morgan Stanley & Co. LLC, and Wells Fargo Securities, LLC served as joint book-running managers for the offering.
