Jefferson Capital launches $100M senior notes add-on offering due 2030
Jefferson Capital, Inc. (NASDAQ: JCAP) announced a proposed offering of $100 million in aggregate principal amount of senior notes due 2030 by its indirect wholly-owned subsidiary, Jefferson Capital Holdings, LLC.
The notes are being issued as additional notes under an indenture dated May 2, 2025, under which the subsidiary previously issued $500 million in aggregate principal amount of 8.250% senior notes due 2030.
The add-on notes will be fully and unconditionally guaranteed on a senior unsecured basis by certain of the issuer's wholly-owned domestic restricted subsidiaries.
Jefferson Capital said it intends to use the net proceeds to repay a portion of outstanding borrowings under its revolving credit facility, with any remainder allocated to general corporate purposes. The company noted it may reborrow amounts under the revolving credit facility in the future to purchase portfolios and fund acquisitions.
The notes have not been registered under the Securities Act and are being offered only to qualified institutional buyers under Rule 144A and to non-U.S. persons outside the United States under Regulation S.
