Canopy Growth sets annual shareholder meeting for September 25

Canopy Growth Corporation (Nasdaq: CGC) has mailed proxy materials to shareholders ahead of its Annual General and Special Meeting, scheduled for September 25, 2026, at 1:00 p.m. ET via live audio webcast.

Shareholders of record as of July 31, 2026, are eligible to vote and must submit their votes no later than 1:00 p.m. ET on September 23, 2026. The company noted that Nasdaq listing rules require a quorum of 33⅓% of outstanding shares entitled to vote, and that failure to reach quorum would require an adjournment at additional cost to the company.

The board of directors recommends shareholders vote in favor of seven items, including the election of the board, the appointment of MNP LLP as auditor, and a share consolidation proposal. A similar reverse stock split proposal was approved by shareholders in 2025 but was not implemented; the board noted that if approved again, implementation would remain at its discretion. Additional items include an advance notice by-law proposal, approval of unallocated entitlements under the company's omnibus incentive plan, and two advisory votes on executive compensation.

The proxy statement and fiscal 2026 annual report have been filed on EDGAR and SEDAR+. Voting is facilitated primarily through Broadridge Financial Solutions using a 16-digit control number, with options available online, by phone, or by mail.
