WaterBridge prices upsized $150M senior notes offering due 2033

WaterBridge Infrastructure LLC (NYSE: WBI; NYSE Texas: WBI) announced that its subsidiary WBI Operating LLC has priced an offering of $150 million in aggregate principal amount of 6.500% senior notes due 2033 at par.



The offering was upsized from a previously announced size of $100 million. The transaction is expected to close on August 18, 2026, subject to customary closing conditions.



The new notes are being issued as additional notes under an indenture dated October 6, 2025, through which WBI Operating LLC previously issued $600 million in aggregate principal amount of 6.500% senior notes due 2033. The new notes carry identical terms to the existing notes, except for the issue date and issue price, and will be treated as part of the same series under the indenture.



WaterBridge intends to use the net proceeds to repay a portion of outstanding borrowings under its revolving credit facility.



The notes have not been registered under the Securities Act of 1933 and are being offered only to qualified institutional buyers under Rule 144A and to persons outside the United States under Regulation S.
