The percentage reported herein is calculated based on 32,947,841 shares of Common Stock outstanding on following the issuance by the Issuer of 20,000,000 shares of Common Stock in a public offering as reported in the Prospectus filed by the Issuer on June 5, 2026, and the issuance of 3,000,000 shares of Common Stock in connection with a debt cancellation agreement as disclosed in the Form 8-K filed by the Issuer on June 9, 2026.
