WaterBridge launches $100M add-on offering of 6.500% senior notes
WaterBridge Infrastructure LLC (NYSE: WBI; NYSE Texas: WBI) announced that its subsidiary WBI Operating LLC intends to offer $100 million in aggregate principal amount of 6.500% senior notes due 2033 in a private placement to eligible purchasers, subject to market conditions.
The notes are being issued as additional notes under an indenture dated October 6, 2025, through which the company previously issued $600 million of 6.500% senior notes due 2033. The new notes will carry identical terms to the existing notes, apart from the issue date and issue price, and will be treated as part of the same series under the same indenture.
According to the company's statement, WaterBridge plans to use the net proceeds to repay a portion of outstanding borrowings under its revolving credit facility.
The notes have not been registered under the Securities Act of 1933 and will be offered only to qualified institutional buyers under Rule 144A and to persons outside the United States under Regulation S.
