Honeywell Aerospace completes exchange of $16B in unregistered notes
Honeywell Aerospace Inc. (Nasdaq: HONA) announced the completion of an exchange offer in which it swapped unregistered senior notes for registered equivalents across nine series totaling up to $16 billion in aggregate principal amount.
The exchange offer expired at 5:00 p.m. New York City time on August 10, 2026, with settlement occurring on August 12, 2026. The company accepted all notes validly tendered and not withdrawn by the expiration date. Honeywell Aerospace said it received no proceeds from the transaction.
Participation rates were high across all nine series. The $3,500,000,000 in 5.732% Senior Notes due 2056 saw 99.857% tendered, while the $1,000,000,000 in 5.622% Senior Notes due 2046 saw 99.998% participation. The $500,000,000 Floating Rate Senior Notes due 2029 had the lowest participation rate at 98.000%.
The terms of the new registered exchange notes are substantially identical to those of the unregistered outstanding notes, except that transfer restrictions and registration rights applicable to the outstanding notes do not apply to the exchange notes. The exchange notes have been registered under the Securities Act of 1933.
The exchange offer was made pursuant to a prospectus dated July 13, 2026, copies of which were filed with the Securities and Exchange Commission.
