Lucid files resale prospectus for preferred stock and common shares
Lucid Group, Inc. (NASDAQ: LCID) filed a prospectus supplement with the Securities and Exchange Commission to register for resale up to 55,000 shares of its Series C Convertible Preferred Stock, 51,651,489 shares of Class A Common Stock that may be issued upon conversion of that preferred stock as of June 30, 2026, and 24,038,462 shares of Class A Common Stock.
The company stated that no new shares will be issued or sold by Lucid in connection with the filing. The registration fulfills contractual obligations to two existing investors: Ayar Third Investment Company, an affiliate of the Public Investment Fund, which received the Series C Convertible Preferred Stock in a private placement, and SMB Holding Corporation, a subsidiary of Uber Technologies, Inc., which received shares of Class A Common Stock in a private placement.
Transfer restrictions apply to both parties. SMB Holding Corporation is restricted from transferring its shares until October 2027, while Ayar is restricted from transferring its Series C Convertible Preferred Stock and any Class A Common Stock issuable upon conversion until April 2027.
Lucid is based in Newark, Calif., and its shares trade on the Nasdaq exchange under the ticker LCID.
