Grove Collaborative receives NYSE non-compliance notice over market cap

Grove Collaborative Holdings, Inc. (NYSE: GROV) received written notice from the New York Stock Exchange on August 7, 2026, indicating the company is not in compliance with Section 802.01B of the NYSE Listed Company Manual.

The rule requires listed companies to maintain an average global market capitalization of at least $50 million over a consecutive 30 trading-day period and stockholders' equity of at least $50 million.

Under NYSE procedures, Grove has 45 days from receipt of the notice to submit a business plan demonstrating how it intends to return to compliance within nine months. The NYSE will then have 45 days to review the plan and determine whether the company has made a reasonable demonstration of its ability to meet the listing standards within that period.

The notice does not have an immediate effect on the listing of the company's Class A common stock. If the NYSE accepts the plan, the stock will continue to be listed and traded during the cure period, subject to compliance with other listing standards and ongoing NYSE review. If the plan is not submitted on time or is rejected, the NYSE could initiate delisting proceedings.
