Levin Capital Applauds MarineMax Board for Acting on Shareholder Feedback and Pursuing a Value-Maximizing Sale to Safe Harbor Marinas

Levin Capital Strategies, a top-10 shareholder of MarineMax, Inc. (NYSE: HZO), issued a statement supporting the company's agreement to be acquired by Safe Harbor Marinas, a Blackstone Infrastructure portfolio company, in an all-cash transaction at $53.00 per share.

The $53.00 per share price represents a 96% premium to MarineMax's unaffected share price, according to the statement.

John Levin, Chairman and Chief Executive Officer of Levin Capital, said: "We congratulate the MarineMax Board and management team on reaching an agreement that delivers substantial, immediate and certain cash value to shareholders."

Levin Capital said it publicly called on the MarineMax board on February 17, 2026, to pursue a review of strategic alternatives following an unsolicited acquisition proposal.

Evan Ratner, President of Levin Capital, said: "The Board ran a competitive process that has delivered significant value for MarineMax shareholders."

The press release did not disclose the total transaction value or an expected closing date.
