Griffon prices $800M senior notes due 2034 at 6.25%

Griffon Corporation (NYSE: GFF) announced the pricing of $800 million in senior notes due 2034, offered through a private placement to qualified institutional buyers.



The notes will carry a semi-annual interest rate of 6.25% per annum and will be senior unsecured obligations of Griffon, guaranteed by certain domestic subsidiaries. The sale is expected to close on August 18, 2026, subject to customary closing conditions.



Griffon said it intends to use the proceeds, along with cash on hand and borrowings under an existing or new revolving credit facility, to redeem all $975 million of its outstanding 5.75% senior notes due 2028 at the applicable redemption price plus accrued and unpaid interest, and to pay related fees and expenses.



The notes have not been registered under the Securities Act of 1933 and may not be offered or sold in the United States without registration or an applicable exemption.
