PN Smart Energy Limited (NASDAQ: PN) announced it has amended and restated a securities purchase agreement for a registered direct offering with an institutional investor, pricing shares at $3.00 each.

The offering includes up to 1,735,000 Class A ordinary shares at a par value of $0.002 per share, along with pre-funded warrants priced at $2.998 each. The gross proceeds are expected to total approximately $5.205 million before placement agent fees and other expenses.

The China-based company said it intends to use net proceeds for general working capital purposes. The closing was expected to occur on or about August 10, 2026, subject to customary closing conditions.

FT Global Capital, Inc. is acting as the exclusive placement agent for the offering.

The securities are being offered under an effective shelf registration statement on Form F-3, filed with the U.S. Securities and Exchange Commission and declared effective on April 30, 2026.
