Citizens Downgrades DoubleVerify (DV) to Market Perform
Citizens analyst Andrew Boone downgraded DoubleVerify (NYSE: DV) from Market Outperform to Market Perform.
The analyst comments: “With the release of 2Q26 results, DoubleVerify announced that it will be merging with Neptune BidCo, the parent company of Nielsen in all-cash acquisition with an implied enterprise value of ~$2.15B. With the announcement of the deal, we are downgrading our rating of DoubleVerify to Market Perform from Market Outperform. On the deal, shareholders will receive $13.60 per share in cash, representing a 16% premium to today’s closing price of $11.71 and a 30% premium to DoubleVerify’s 60-day trading volume price. More strategically, the acquisition combines Nielsen’s audience measurement and attribution capabilities with DoubleVerify’s verification and fraud-detection solutions, creating a more comprehensive advertising platform, expanding Nielsen’s exposure to digital advertising, preserving independent measurement standards, strengthening its position in AI-driven advertising, and tripling Nielsen’s TAM to $300B+.”
