Item 7.01.     Regulation FD Disclosure.

On August 5, 2026, the Board of Directors of Darling Ingredients Inc. (the “Company”) refreshed and increased the Company’s previously announced share repurchase program from an aggregate amount of $500.0 million to $1.0 billion of the Company’s Common Stock depending on market conditions. There is no expiration date for this program and the repurchase authorization may be modified, suspended, or discontinued at any time. On August 5, 2026, the Company issued a press release announcing these updates to the share repurchase program. A copy of the press release is furnished as Exhibit 99 to this Current Report on Form 8-K (“Current Report”).
