Capital Southwest seeks shareholder votes to expand authorized shares

August 4, 2026 4:02 PM

Capital Southwest Corporation (Nasdaq: CSWC) is urging shareholders to vote in favor of a proposal to increase the number of authorized shares of common stock from 75.0 million to 135.0 million ahead of a reconvened annual meeting scheduled for September 1.

As of August 3, 2026, approximately 89% of votes cast have been in favor of the proposal. Under Texas law, approval requires the affirmative vote of holders of at least two-thirds of all outstanding shares, meaning a failure to vote carries the same practical effect as a vote against the proposal.

The Dallas-based business development company said the proposal is not tied to any specific transaction or immediate capital need. "We are not seeking authority for a specific transaction, nor do we have an immediate need for capital. Rather, we are seeking to preserve the flexibility to execute our investment strategy when attractive opportunities arise," said Michael S. Sarner, President and Chief Executive Officer.

According to the company, approval of the proposal would not itself result in the issuance of any shares. Capital Southwest stated that since 2015, it has raised approximately $993 million in equity capital at a weighted average premium of approximately 131% to prevailing net asset value per share.

The company's board of directors unanimously recommends a vote in favor of the amendment. Proxy advisory firms Institutional Shareholder Services Inc. and Glass Lewis & Co. have also recommended shareholders vote in favor of the proposal.

Capital Southwest reported approximately $2.2 billion in investments at fair value as of June 30, 2026. The company focuses on middle market lending, with investments ranging from $5 million to $50 million across the capital structure.
