Core AI Holdings gets Nasdaq notice for minimum bid price deficiency

Core AI Holdings, Inc. (NASDAQ: CHAI) received a notification from the Nasdaq Stock Market LLC on July 31, 2026, stating that the company is not in compliance with the minimum bid price requirement for its common shares.

According to the notification, Core AI's shares failed to maintain the required minimum closing bid price of $1.00 per share for 30 consecutive trading days, from June 17, 2026 through July 30, 2026, as required under Nasdaq Listing Rule 5450(a)(1).

The notification has no immediate effect on the listing or trading of the company's common shares on Nasdaq. Core AI has 180 calendar days from the date of the notification, until January 27, 2027, to regain compliance. During this period, shares will continue to trade on the Nasdaq Capital Market.

To regain compliance within the initial period, the closing bid price of Core AI's common shares must reach at least $1.00 per share for a minimum of ten consecutive trading days. If the company does not meet this threshold by January 27, 2027, it may be eligible for an additional 180-day compliance period, provided it meets certain continued listing requirements and submits a written notice of intent to cure the deficiency, which could include a reverse stock split.

If Core AI's shares close at $0.10 or below for ten consecutive trading days during any compliance period, Nasdaq may issue a Staff Delisting Determination. If the company is found ineligible for a second compliance period or appears unable to cure the deficiency, Nasdaq would issue a delisting notice.

Core AI stated it intends to monitor its share price and consider available options to regain compliance with Nasdaq listing requirements.
