PMGC Holdings says it meets Nasdaq's new $5M market value rule

PMGC Holdings Inc. (Nasdaq: ELAB) stated that it is in compliance with Nasdaq's newly approved Market Value of Listed Securities requirement, which took effect immediately upon approval by the Securities and Exchange Commission.

Under the new rule, companies listed on Nasdaq markets must maintain a minimum market value of listed securities. A company whose market value remains below the minimum for 30 consecutive business days may face trading suspension and delisting proceedings without a cure period. PMGC said its market value of listed securities exceeds the new $5 million minimum based on its share count and market price as of July 29, 2026.

The company also said certain third-party market data websites are displaying an incorrect number of shares outstanding. As of July 29, 2026, PMGC has 8,095,835 shares of common stock issued and outstanding, and the company said it is working with data providers to correct their records.

According to the company's most recent quarterly report for the period ended March 31, 2026, PMGC reported total assets of approximately $26.0 million, shareholders' equity of approximately $12.6 million, and cash and cash equivalents of approximately $14.4 million. Revenue for the quarter was approximately $682,000. Those figures do not include the acquisition of A&B Aerospace, Inc., which closed on May 12, 2026. The company expects to report second-quarter 2026 results in August 2026.

PMGC noted that its market value of listed securities is subject to changes in its common stock trading price, and the company offered no assurance that it will continue to meet the requirement going forward.
