Criteo moves domicile to Luxembourg, plans U.S. merger by 2027

Criteo (NASDAQ: CRTO) completed the transfer of its legal domicile from France to Luxembourg on July 29, 2026, through a cross-border conversion. Following the move, the company terminated its American Depositary Share program, with each ADS holder automatically receiving one ordinary share. The ordinary shares began trading directly on Nasdaq under the ticker symbol "CRTO."



Criteo's board of directors subsequently approved a further transfer of the company's legal domicile from Luxembourg to the United States, to be carried out through a cross-border merger with a wholly owned U.S. subsidiary. The transaction is subject to shareholder approval and other customary conditions, with completion expected in January 2027.



The board stated it believes the moves could position Criteo for potential inclusion in U.S. indices, subject to meeting eligibility criteria, and provide greater flexibility for share repurchases and treasury share management.



In connection with the planned U.S. redomiciliation, Criteo said it expects to move its stock listing from Nasdaq to the New York Stock Exchange upon completion of the U.S. merger, subject to applicable listing requirements.



Frederik Van der Kooi, chairman of the board, said: "Criteo's redomiciliation to Luxembourg is an important milestone in our journey toward becoming a U.S.-domiciled company, which the Board is confident will increase long-term shareholder value and corporate flexibility."
