Eos Energy rights offering raises $37.7M, falls short of full subscription
Eos Energy Enterprises, Inc. (NASDAQ: EOSE) announced the results of its rights offering, which expired at 5:00 p.m. Eastern Time on July 21, 2026.
The company distributed rights to acquire an aggregate of 27,367,171 units at a price of $5.481 per unit. Each unit consists of one share of common stock and 0.4388 of a warrant to purchase one share of common stock at an exercise price of $5.481 per whole share. According to a tabulation by Broadridge Corporate Issuer Solutions, Inc., the company received subscriptions for 6,885,218 units, representing a partial take-up of the total units available.
The company expects to receive aggregate gross proceeds of $37.7 million from the offering. The common stock and warrants comprising the units will separate upon closing and are expected to be distributed on or about August 3, 2026.
Eos Energy has applied to list the warrants on the Nasdaq Capital Market under the symbol "EOSEW," though the company noted no assurance can be given that the listing application will be approved.
The company stated that including proceeds from the rights offering, a previously announced investment from Hudson Bay Capital Management, and a commitment from Cerberus Capital Management, approximately $263 million in gross proceeds have been raised in connection with Frontier Power USA. The company said this amount exceeds its original target and is expected to initially support more than $1 billion of deployable project capital.
The rights offering was conducted pursuant to an effective shelf registration statement under the Securities Act, with a prospectus supplement filed with the SEC on July 2, 2026.
