McCormick reveals structure for Unilever Foods merger, plans London listing

McCormick & Company (NYSE: MKC) has outlined the planned operating model, executive team, and secondary stock listing location for the combined company it expects to form following the closing of its proposed acquisition of Unilever's Foods business, anticipated by mid-2027.

According to a company statement, the combined entity will be organized into four commercial divisions: Americas Consumer, International Consumer, Global Food Service, and Global Flavor. Based on 2025 combined sales figures, Americas Consumer would account for $8 billion in annual sales, International Consumer $7 billion, Global Food Service $4 billion, and Global Flavor $2.5 billion.

Brendan Foley will remain Chairman, President and Chief Executive Officer, and Marcos Gabriel will remain Executive Vice President and Chief Financial Officer. Division leadership roles are expected to include Andrew Foust as President of Americas Consumer, Heiko Schipper as President of International Consumer, Nuria Hernandez as President of Global Food Service, and Suzanne Roy as President of Global Flavor. Additional function leaders spanning supply chain, legal, human resources, R&D, and digital roles were also named, drawn from both McCormick and Unilever Foods.

McCormick said it intends to seek a secondary listing on the London Stock Exchange at transaction closing, complementing its primary NYSE listing. The company said the move is intended to facilitate capital flows and reflect Unilever's current global shareholder base. The combined company will maintain its Global Headquarters in Hunt Valley, Maryland, and establish an International Headquarters in the Netherlands, where Unilever Foods has existing operations and research and development facilities.

The company also said an Integration Management Office will remain active after closing, overseeing transition services agreements expected to last up to 24 months. McCormick said it plans to provide additional detail on anticipated revenue and cost synergies by the end of the third quarter.

The combined sales figures cited represent McCormick's fiscal year 2025 net sales alongside Unilever Foods' 2025 preliminary carve-out financial information, prepared under IFRS and converted from euros to U.S. dollars.
