American Critical Minerals plans $2M private placement for Utah drilling

American Critical Minerals Corp. (CNSX: KCLI)(OTCQB: APCOF)(Frankfurt: 2P3) announced a non-brokered private placement of up to 8,000,000 units at $0.25 per unit, seeking to raise gross proceeds of up to $2,000,000.



Each unit consists of one common share and one warrant exercisable at $0.35 for three years. Securities issued will be subject to a four-month-and-one-day resale restriction. The company may pay finders' fees to eligible parties. Closing remains subject to regulatory approvals.



Proceeds are intended to fund drilling operations at the company's Green River Project in Utah and general working capital.



CEO Dean Pekeski said drill pad construction by Harrison Field Services, Inc. has advanced and is anticipated to be ready for drilling in August. He noted that casing and tubular products have been ordered and a drill contractor active in the Paradox Basin has been identified.



The initial drill location will be the Duma Point AP-S-02 well, within Utah State-issued Permit 51690. The site is adjacent to the historic Quintana Fed 1-1 oil and gas well, which recorded historical grades of eK2O=24.3% potassium chloride over 5.9 metres based on electronic log data. The company noted that this historical data has not yet been verified by a qualified person.



The Green River Project covers approximately 32,530 acres in Utah's Paradox Basin, roughly 20 miles northwest of Moab. The company holds 100% interest in eleven mineral leases, 1,094 federal lithium brine claims, and 11 federal potash prospecting permits. The company is authorized to drill up to seven holes across the project.



The company has engaged RESPEC Company, LLC to execute the 2026 drill program and states it holds all necessary regulatory requirements including Notice of Intent, Storm Water Pollution Prevention Plan, and bonding approval.
