Signature Resources clarifies private placement terms, raises $609,000

Signature Resources Ltd. (TSXV: SGU) (OTCQB: SGGTF) (FSE: 3S30) issued a clarification regarding its non-brokered private placement that closed July 15, 2026, confirming aggregate gross proceeds of $609,000.



According to the company's statement, the offering consisted of two tranches: 11,311,111 flow-through units at $0.045 per unit, raising $509,000, and 2,500,000 non-flow-through units at $0.04 per unit, raising $100,000.



Each unit, whether flow-through or non-flow-through, comprised one common share and one-half of one common share purchase warrant. Each whole warrant allows the holder to purchase one additional common share at $0.08 for 12 months from issuance.



Company insiders participated in the offering by acquiring 1,111,111 flow-through units and 2,500,000 non-flow-through units, representing approximately 26% of the total offering. The company classified this participation as a related party transaction under Multilateral Instrument 61-101. Signature Resources said it relied on exemptions from formal valuation and minority shareholder approval requirements, citing that the fair market value of insider participation did not exceed 25% of the company's market capitalization.



The company stated that no other material terms of the offering changed from those previously disclosed.
