QTREX clarifies Form F-1 filing is not a new share issuance
QTREX Quantum Ltd. (Nasdaq: QTEX) issued a clarification stating that its resale registration statement on Form F-1, filed July 21, 2026 with the U.S. Securities and Exchange Commission, does not represent a new issuance of ordinary shares or a new capital raise.
The Israel-based company said the filing was made solely to fulfill pre-existing contractual obligations related to outstanding warrants issued under a securities purchase agreement dated February 5, 2026. The company said it will not receive proceeds from the registration statement, except for any amounts that may result from the exercise of ordinary share purchase warrants.
The company also disclosed that it had previously raised $10 million through a sale of common shares at $1.50 per share to a hedge fund, a transaction that included no warrants.
