Nomad Foods plans €800M note offering to refinance 2028 debt
Nomad Foods Limited (NYSE: NOMD) announced that its indirect wholly-owned subsidiary, Nomad Foods Bondco Plc, intends to offer €800.0 million in aggregate principal amount of senior secured notes due 2033.
The company said it plans to use the gross proceeds to refinance in full the subsidiary's existing €800.0 million senior secured notes due 2028. The new notes are expected to be guaranteed and secured on a senior basis by Nomad Foods and certain of its subsidiaries.
In connection with the refinancing, Nomad Foods said it expects to increase commitments under its revolving credit facility by €105.0 million, bringing the total available amount under that facility to €280.0 million.
The company noted that no assurance can be given that the refinancing or the revolving credit facility increase will be completed, or as to the terms on which either may be completed.
A notice of conditional redemption for the existing notes will be published through the Luxembourg Stock Exchange and delivered to holders via Euroclear Bank SA/NV and Clearstream Banking S.A.
The notes are being offered only to qualified institutional buyers in the United States under Rule 144A and to non-U.S. persons in offshore transactions under Regulation S of the U.S. Securities Act of 1933. The notes have not been registered under U.S. securities laws and are not being offered to retail investors in the European Economic Area or the United Kingdom.
